Copperleaf Metropolitan District Nos. 1, 3, 4, 5, 6, 7, 8 and 9

2025 ANNUAL REPORT COPPERLEAF METROPOLITAN DISTRICT NO. 1

As required by Section 32-1-207(3)(c), C.R.S., the following report of the activities of the Copperleaf Metropolitan District No. 1 (the “District”) from January 1, 2025 to December 31, 2025 is hereby submitted:

A.                 Boundary changes made: There were no boundary changes made during the report year.

B.                 Intergovernmental Agreements entered into or terminated: The District entered into the following Intergovernmental Agreement during the report year:

·         First Amendment to Commercial District Revenues Pledge Agreement dated April 15, 2025, by and among Copperleaf Metropolitan District Nos. 1, 5, 7, 8

and 9.

·         Agreement Regarding Declaration of Payment in Lieu of Taxes dated September 8, 2025 by and between Copperleaf Metropolitan District Nos. 1 and 5.

·         Agreement Regarding PILOT Exception Agreement Payment and Consent dated September 9, 2025, by and between Copperleaf Metropolitan District Nos. 1 and 5 and SQH Residential Investors, Inc.

·         Copperleaf Commercial District Construction Cost Administration Agreement dated effective January 1, 2024, by and among Copperleaf Metropolitan District Nos. 1, 5 and 9.

C.                 Access information to obtain a copy of rules and regulations adopted: As of the end of the report year, the District has not adopted any rules and regulations. D.                 Summary of litigation involving the District’s public improvements: There was

no litigation involving the District’s public improvements during the report year.

E.                 Status of the District’s construction of public improvements: The District did not directly construct any public improvements during the report year.

F.                  Conveyances or dedications of facilities or improvements, constructed by the District, to the County: There were no conveyances or dedications of facilities or improvements, constructed by the District, to the County during the report year.

G.                 Final assessed valuation of the District for the reporting year: $28.

H.                 Current year’s budget: A copy of the District’s 2026 budget is linked below. 

I.                 Audited financial statements for the reporting year (or application for exemption from audit): The District’s audit for the current report year (2025) is still in process, and a copy of the 2025 Audit will be provided once it is completed. The 2024 Audit was not completed when the District’s 2024 Annual Report was filed but has now been completed. A copy of the 2024 Audit is linked below. 

J.                 Notice of any uncured events of default by the District, which continue beyond a ninety (90) day period, under any debt instrument: To our knowledge, there are no uncured events of default by the District which continue beyond a ninety (90) day period.

K.                 Any inability of the District to pay its obligations as they come due, in accordance with the terms of such obligations, which continues beyond a ninety (90) day period: To our knowledge, the District has been able to pay its obligations as they come due.
